Terms of Service

1. Who you are contracting with
These Terms of Service govern your access to and use of www.price-theory.com and everything we provide through it — the dashboard, alerts, research, community channels and any related service (together, the “Service”). In these terms, “Price Theory”, “we” and “us” mean the operator of the Service.
By creating an account, accepting these terms in the application, or continuing to use the Service, you agree to these terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract. You are responsible for complying with the laws that apply to you, including any restrictions on trading in your jurisdiction.
3. Educational service — not investment advice
All content on the Service is provided for educational and informational purposes only. Nothing on the Service is financial, investment, tax, accounting or legal advice, and nothing is a recommendation, solicitation or offer to buy or sell any security, option or other instrument.
Price Theory is not a registered investment adviser, broker-dealer, futures commission merchant or financial planner, and is not registered with the SEC, FINRA, the CFTC or any state securities regulator. No content is personalised to you.
Your use of the Service does not create an advisory, brokerage or fiduciary relationship between you and us. We do not know your financial position, tax situation, risk tolerance or objectives, and nothing we publish takes them into account. Consult a licensed professional before acting on anything you read here.
4. Trading risk
Trading securities and options is speculative and involves a substantial risk of loss. You should not trade with money you cannot afford to lose.
- Options can expire worthless, resulting in the total loss of the amount paid for the position.
- Certain options strategies, including uncovered and short positions, can produce losses greater than the amount originally invested.
- Market conditions, gaps, halts, illiquidity and wide bid-ask spreads can prevent you from entering or exiting at the prices shown on the Service.
- You are solely responsible for every order you place and for any resulting gain or loss.
Before trading options you should read the industry standardised risk disclosure, Characteristics and Risks of Standardized Options, available from your broker or from The Options Clearing Corporation.
5. Performance information
The Service displays performance figures including win rates, return percentages, trade histories, backtests and illustrative figures such as the return on a hypothetical equal investment across several positions.
Past performance is not indicative of future results. Hypothetical and backtested results have inherent limitations: they are prepared with the benefit of hindsight, do not represent actual trading, and do not account for commissions, fees, financing costs, slippage, taxes or the emotional factors of live trading. No representation is made that any account will or is likely to achieve results similar to those shown.
Figures may be calculated at a favourable point within a trade’s life and may not reflect the result any particular person achieved. Your results will differ.
6. Data and third-party sources
Market data, filings, news, analytics and other information on the Service are obtained from third-party sources. Data may be delayed, incomplete, interrupted or inaccurate, and we do not independently verify it. We make no warranty as to its accuracy or timeliness and are not liable for errors in it or for any action you take in reliance on it. Verify all information with your broker or an authoritative source before acting.
7. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Accounts are for a single individual — do not share, resell or transfer access. We may suspend or terminate accounts that share credentials, redistribute paid content, abuse the Service, or violate these terms.
8. Subscriptions and billing
- Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. We do not store your card details.
- Your subscription renews automatically at the then-current price until you cancel.
- You may cancel at any time; cancellation takes effect at the end of the current billing period and you keep access until then.
- We may change pricing on notice; changes apply from your next billing period.
- You are responsible for any taxes that apply to your purchase.
9. Refund policy
If you are not satisfied with a paid subscription, contact us at support@price-theory.com within 30 days of your first payment and we will refund that payment in full.
- The 30-day guarantee applies to your first payment on a plan, not to subsequent renewals.
- Renewal charges are not refundable once billed; cancel before your renewal date to avoid them.
- Refunds are returned to the original payment method and may take several business days to appear.
- We may decline refunds where an account has shared or redistributed paid content, or otherwise abused the Service.
10. Intellectual property
The Service and its content — including research, alerts, analytics, text, graphics, code, and the Price Theory name and marks — are owned by Price Theory or its licensors and are protected by intellectual property law. We grant you a personal, non-exclusive, non-transferable, revocable licence to access the Service for your own use. You may not copy, republish, redistribute, sell, scrape, or create derivative works from paid content without our written permission.
11. Acceptable use
- Do not redistribute, republish or resell alerts, research or any paid content.
- Do not scrape, crawl or use automated means to extract content beyond ordinary personal use.
- Do not attempt to gain unauthorised access to the Service, other accounts, or our systems.
- Do not use the Service to violate securities laws, including by attempting to manipulate a market.
- Do not harass other members or post unlawful content in community channels.
12. Third-party services
The Service integrates third-party providers including Clerk (authentication), Stripe (payments), hosting and market-data vendors, and may link to third-party sites and community platforms. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or content.
13. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that any information on it is accurate or complete.
14. Limitation of liability
To the maximum extent permitted by law, Price Theory and its owners, employees and contributors will not be liable for any trading losses, lost profits, lost data, or any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to your use of the Service, whether based in contract, tort, negligence, strict liability or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot lawfully be limited.
15. Indemnity
You agree to indemnify and hold harmless Price Theory and its owners, employees and contributors from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Service, your trading activity, your violation of these terms, or your violation of any law or third-party right.
16. Changes to the Service and to these terms
We may modify or discontinue any part of the Service at any time. We may also update these terms; when we make a material change we will update the effective date and ask you to accept the revised terms in the application. Continuing to use the Service after that means you accept the change.
17. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms or if we discontinue the Service. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and indemnity — survive.
18. Disputes
If you have a dispute with us, contact us first at support@price-theory.com and we will try in good faith to resolve it informally. Most issues are settled this way, and we ask you to allow us 30 days to respond before taking any further step.
These terms are governed by the law applicable at our principal place of business, and any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction there, except where the law where you live gives you the right to bring a claim in your own local courts.
19. General
If any provision of these terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy and Risk Disclaimer, are the entire agreement between you and us regarding the Service. You may not assign them; we may assign them in connection with a merger, acquisition or sale of assets.
